HeadCount | End User License Agreement

1. Agreement

By downloading, installing, or using HeadCount ("the App"), you agree to be bound by this End User License Agreement ("Agreement"). If you do not agree to these terms, do not use the App.

2. License Grant

Vatyr Studios LLC grants you a limited, non-exclusive, non-transferable, revocable license to use the App on any device you own or control, solely for your personal, non-commercial purposes, subject to the terms of this Agreement.

3. Restrictions

You may not:

Copy, modify, distribute, sell, or lease any part of the App
Reverse-engineer, decompile, or disassemble the App
Remove or alter any proprietary notices, labels, or marks in the App
Use the App for any unlawful purpose
Attempt to extract the source code of the App

4. Intellectual Property

The App, including all content, features, functionality, design, code, and documentation, is owned by Vatyr Studios LLC and is protected by copyright, trademark, and other intellectual property laws. This Agreement does not grant you any ownership rights in the App.

5. Disclaimer: Not Veterinary or Professional Advice

HeadCount is an organizational tool for managing farm and animal records. It is not a substitute for professional veterinary care, certified livestock management consulting, or agricultural advisory services.

The app does not provide veterinary diagnoses, treatment recommendations, or medication dosage guidance.
Breeding calculations, including inbreeding coefficients, are provided for informational purposes only and should be verified by a qualified animal geneticist or breed registry.
Always consult a licensed veterinarian for health concerns and a qualified professional for regulatory compliance.
Vatyr Studios LLC does not guarantee the accuracy of any calculations, reports, or records generated by the App.

6. Data and Privacy

HeadCount stores all data on your device. No personal data is collected, transmitted, or stored by Vatyr Studios LLC. The only network activity is optional satellite map tile caching for the field management feature. For full details, see the Privacy Policy.

You are solely responsible for backing up any data you enter into the App. Uninstalling the App will permanently delete all app data from your device.

7. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

VATYR STUDIOS LLC DOES NOT WARRANT THAT:

THE APP WILL MEET YOUR SPECIFIC REQUIREMENTS
THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
THE RESULTS OBTAINED FROM USING THE APP WILL BE ACCURATE OR RELIABLE
ANY DEFECTS IN THE APP WILL BE CORRECTED

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VATYR STUDIOS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, REGARDLESS OF THE THEORY OF LIABILITY.

IN NO EVENT SHALL VATYR STUDIOS LLC'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID FOR THE APP.

9. Indemnification

You agree to indemnify and hold harmless Vatyr Studios LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the App or your violation of this Agreement.

10. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the App and delete all copies from your devices.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State in which Vatyr Studios LLC is organized, without regard to its conflict of law principles.

12. Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.

13. Entire Agreement

This Agreement constitutes the entire agreement between you and Vatyr Studios LLC regarding the App and supersedes all prior agreements and understandings, whether written or oral.

14. Changes to This Agreement

Vatyr Studios LLC reserves the right to modify this Agreement at any time. Updated terms will be posted at this location with a revised effective date. Your continued use of the App after changes are posted constitutes acceptance of the revised terms.
